Sales Terms and Conditions
Effective Date: January 1, 2026
These Sales Terms and Conditions (“Terms”) govern the purchase and use of The Global OTR Platform provided by Vamas 2.0 BV and/or its affiliated entities (“Provider”, “we”, “us”, or “our”). By purchasing, accessing, or using The Global OTR Platform (“Platform”), the customer (“Customer”, “you”, or “your”) agrees to be bound by these Terms.
1. Definitions
1.1 Platform
“The Global OTR Platform” refers to the web-based software application combining:
- The Global OTR Library
- The Global OTR Database
- The Global OTR Machine Database
- The Tyre–Machine Matcher
- The Tyre–Rim Matcher
- The TKPH / TMPH Calculator
- Any related modules, updates, datasets, or online services provided by the Provider.
1.2 User
A “User” is an individual authorized by the Customer to access and use the Platform.
1.3 Subscription Term
The “Subscription Term” refers to the agreed period of access to the Platform, typically twelve (12) months.
2. Subscription and Access
2.1 License Grant
Subject to payment of applicable fees and compliance with these Terms, the Provider grants the Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Platform during the Subscription Term.
2.2 Authorized Use
Access is restricted to the number of purchased user accounts. User accounts may not be shared between multiple individuals.
2.3 Account Security
Customers are responsible for maintaining the confidentiality of login credentials and for all activities occurring under their accounts.
2.4 Availability
The Provider will use commercially reasonable efforts to maintain Platform availability. Temporary interruptions may occur for maintenance, upgrades, or circumstances beyond the Provider’s control.
3. Pricing and Payment
3.1 Subscription Fees
Subscription fees for The Global OTR Platform shall be determined by the Provider and communicated through quotations, order forms, commercial proposals, invoices, or published pricing.
Unless otherwise agreed in writing:
- Subscription fees may vary depending on the number of users, subscription scope, commercial arrangements, promotional programs, or applicable launch packages
- All pricing is stated exclusive of VAT and applicable taxes
- The Provider reserves the right to modify pricing for future subscription periods upon prior notice in accordance with these Terms
3.2 Billing
Subscriptions are billed annually in advance. Invoices are payable within thirty (30) days from invoice date unless otherwise specified.
3.3 Taxes
All fees are exclusive of VAT, sales taxes, withholding taxes, or similar governmental charges.
3.4 Late Payments
Late payments may result in:
- Suspension of access to the Platform
- Interest charges permitted under applicable law
- Recovery costs related to collection activities
4. Customer Responsibilities
The Customer agrees to:
- Use the Platform only for lawful business purposes
- Ensure that Users comply with these Terms
- Not attempt to reverse engineer, copy, scrape, or replicate the Platform or datasets
- Not resell or commercially redistribute Platform content without written authorization
- Provide accurate registration and billing information
5. Intellectual Property
5.1 Ownership
All intellectual property rights in the Platform, including databases, software, algorithms, layouts, trademarks, and documentation, remain the exclusive property of the Provider and/or its licensors.
5.2 Restrictions
Except as expressly permitted under these Terms, the Customer may not:
- Copy or reproduce Platform content
- Create derivative works
- Extract substantial portions of databases
- Use automated systems to access the Platform
- Remove proprietary notices or branding
6. Data and Accuracy
6.1 Informational Nature
The Platform is intended as a professional decision-support tool. The Customer remains responsible for validating operational, engineering, and safety decisions.
6.2 No Engineering Certification
The Platform does not replace:
- Manufacturer approvals
- Site engineering assessments
- Regulatory compliance obligations
- Professional engineering judgment
6.3 Data Accuracy
While the Provider aims to maintain accurate and up-to-date information, the Provider does not guarantee that all data is complete, error-free, or current at all times.
7. TKPH / TMPH Calculations
7.1 Calculation Inputs
TKPH / TMPH outputs are dependent on operational data entered by the Customer. The Customer is solely responsible for the accuracy and completeness of entered data.
7.2 Recommendations
Results generated by the TKPH / TMPH Calculator are indicative and intended to support professional evaluation. Final tyre selection decisions remain the responsibility of the Customer.
8. Confidentiality
Both parties agree to maintain the confidentiality of non-public business, technical, and commercial information disclosed during the business relationship.
Confidential information shall not include information that:
- Is publicly available
- Was independently developed
- Was lawfully obtained from a third party
- Is required to be disclosed by law
9. Privacy and Data Protection
The Provider shall process personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.
Customers are responsible for ensuring that their Users comply with applicable privacy requirements.
10. Term and Renewal
10.1 Initial Term
Subscriptions commence on the agreed activation date and continue for the purchased Subscription Term.
10.2 Automatic Renewal
Unless terminated in writing at least thirty (30) days before renewal, subscriptions automatically renew for successive twelve (12) month periods.
10.3 Price Changes
The Provider may adjust pricing upon renewal by providing at least sixty (60) days prior written notice.
11. Suspension and Termination
11.1 Suspension
The Provider may suspend access if:
- Payment obligations are overdue
- Unauthorized use is suspected
- Security risks are identified
- The Customer materially breaches these Terms
11.2 Termination for Cause
Either party may terminate the agreement for material breach if the breach is not cured within thirty (30) days after written notice.
11.3 Effect of Termination
Upon termination:
- Access rights immediately cease
- Outstanding fees remain payable
- Sections intended to survive termination shall remain in effect
12. Warranty Disclaimer
To the maximum extent permitted by law, the Platform is provided “as is” and “as available.”
The Provider disclaims all warranties, whether express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or uninterrupted availability
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Provider shall not be liable for indirect, incidental, consequential, special, or punitive damages
- The Provider shall not be liable for loss of profits, revenue, business opportunities, or goodwill
- The Provider’s total aggregate liability shall not exceed the fees paid by the Customer during the twelve (12) months preceding the claim
14. Force Majeure
Neither party shall be liable for delays or failures resulting from causes beyond reasonable control, including:
- Internet outages
- Cyberattacks
- Government actions
- Natural disasters
- Labor disputes
- Supplier failures
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Belgium.
Any disputes arising from these Terms shall be submitted to the competent courts of Antwerp, Belgium.
16. Miscellaneous
16.1 Entire Agreement
These Terms constitute the entire agreement between the parties regarding the Platform.
16.2 Amendments
The Provider may update these Terms from time to time. Updated Terms become effective upon publication or written notice.
16.3 Severability
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
16.4 Assignment
The Customer may not assign its rights or obligations without prior written consent from the Provider.

By accessing or using the Platform, the user (“User”, “you”, or “your”) agrees to comply with these Terms.
1. Purpose of the Platform
The Global OTR Platform is a professional web-based application designed exclusively for off-the-road tyre industry professionals.

The TKPH / TMPH Calculator
Related professional datasets, analytical tools, and technical information
The Platform is intended solely for lawful business and professional purposes.
2. Professional Use Only
The Platform is intended exclusively for professional and business users operating within the off-the-road tyre industry.
By using the Platform, the User confirms that:
The User acts in a professional or commercial capacity
The User is not acting as a consumer under applicable consumer protection laws
The User possesses sufficient technical knowledge to interpret and evaluate Platform information responsibly
3. User Accounts
3.1 Account Registration
Users may be required to create an account to access certain parts of the Platform.
Users agree to provide accurate, current, and complete information.
3.2 Account Security
Users are responsible for:
Maintaining the confidentiality of login credentials
Restricting unauthorized access to their accounts
All activities performed under their accounts
Users must immediately notify the Provider of any suspected unauthorized access or security breach.
3.3 Authorized Users
User accounts are personal and may not be shared, sublicensed, transferred, or used by multiple individuals simultaneously.
4. Permitted Use
Users may use the Platform solely for:
Professional tyre research
Machine and tyre compatibility evaluation
Rim compatibility verification
TKPH / TMPH assessments
Internal commercial and operational decision-making
Customer advisory and technical support activities
Subject to these Terms and any applicable subscription agreement.
5. Prohibited Use
Users shall not:
Copy, scrape, harvest, or systematically extract Platform data
Reproduce substantial portions of databases
Reverse engineer, decompile, or attempt to access source code
Use automated bots, crawlers, or scripts without authorization
Resell, redistribute, sublicense, or commercially exploit Platform content
Circumvent security measures or access restrictions
Introduce malware, malicious code, or disruptive technologies
Use the Platform in violation of applicable laws or regulations
Misrepresent Platform data as independently certified engineering advice
6. Data and Technical Information
6.1 Informational Nature
The Platform provides technical and operational information intended to support professional decision-making.
The Platform does not replace:
Manufacturer recommendations
Professional engineering assessments
Site inspections
Regulatory compliance obligations
Independent technical validation where required
6.2 No Guarantee of Accuracy
While the Provider aims to maintain accurate and updated information, the Provider does not guarantee:
Completeness
Accuracy
Availability
Continuous updating of all datasets
Suitability for a specific operational environment
Users remain solely responsible for validating operational decisions.
7. TKPH / TMPH Calculations
7.1 User Responsibility
TKPH / TMPH outputs depend entirely on operational and machine data entered by the User.
The User is solely responsible for:
Input accuracy
Correct interpretation of results
Final tyre selection decisions
Compliance with manufacturer specifications and site requirements
7.2 Indicative Nature
TKPH / TMPH outputs are indicative analytical tools intended to assist experienced professionals.
The Platform does not guarantee:
Tyre performance
Heat resistance outcomes
Product lifespan
Warranty eligibility
Operational suitability under all site conditions
8. Intellectual Property Rights
All intellectual property rights relating to the Platform remain the exclusive property of the Provider and/or its licensors.
This includes:
Databases
Software
Algorithms
Data structures
Platform layouts
Logos and trademarks
Documentation
Analytical methodologies
No ownership rights are transferred to Users.
9. Confidentiality and Access Restrictions
Users shall treat non-public Platform information as confidential.
Users may not:
Share proprietary datasets publicly
Provide unauthorized third-party access
Publish substantial Platform content without written permission
The Provider may monitor usage patterns for security, compliance, and service improvement purposes.
10. Availability and Maintenance
The Provider aims to maintain reasonable Platform availability but does not guarantee uninterrupted access.
Temporary interruptions may occur due to:
Maintenance
Updates
Security incidents
Internet or infrastructure failures
Circumstances beyond reasonable control
11. Suspension and Termination
The Provider may suspend or terminate access without prior notice if:
These Terms are violated
Unauthorized use is suspected
Security risks arise
Subscription obligations are not fulfilled
Required by law or regulatory authorities
Upon termination:
Access rights immediately cease
Users must discontinue all Platform use
Certain obligations survive termination, including confidentiality and intellectual property protections
12. Privacy and Data Protection
The Provider processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR) where applicable.
Users are responsible for ensuring compliance with applicable privacy obligations within their own organizations.
13. Warranty Disclaimer
To the maximum extent permitted under Belgian law, the Platform is provided “as is” and “as available.”
The Provider disclaims all warranties, whether express or implied, including:
Merchantability
Fitness for a particular purpose
Non-infringement
Continuous availability
Error-free operation
Nothing in these Terms excludes rights or liabilities that cannot legally be excluded under mandatory applicable law.
14. Limitation of Liability
To the maximum extent permitted under applicable Belgian law:
The Provider shall not be liable for indirect, consequential, incidental, or special damages
The Provider shall not be liable for loss of profits, contracts, business opportunities, data, or goodwill
The User assumes responsibility for operational and technical decisions made using Platform data
Nothing in these Terms excludes liability that cannot legally be excluded under mandatory Belgian law.
15. Force Majeure
The Provider shall not be liable for delays, interruptions, or failures caused by events beyond reasonable control, including:
Internet outages
Cyberattacks
Government actions
Natural disasters
Labor disputes
Infrastructure failures
Supplier or hosting provider failures
16. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of Belgium.
Any dispute arising from or relating to these Terms or the use of the Platform shall fall under the jurisdiction of the competent courts of Antwerp, Belgium, unless mandatory law provides otherwise.
These Terms are intended to comply with the Belgian Code of Economic Law (Wetboek van Economisch Recht / Code de droit économique), including Belgian B2B legislation.
17. Changes to the Terms
The Provider may modify these Terms from time to time.
Updated Terms become effective upon publication on the Platform or upon written notification to Users.
Continued use of the Platform after such changes constitutes acceptance of the updated Terms.
